By creating an account, accessing the platform, purchasing a subscription, purchasing or using a telephone number, or using any Dialeaze service, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.

2. About Dialeaze

Dialeaze is a business communications platform that provides communication and related software services through its website and technology platform.

Depending on the plan and services purchased, Dialeaze may provide features including business telephone numbers, voice calling, SMS or messaging functionality, voicemail, call history, contacts, call recordings, and related communication tools.

Features, availability, limits, pricing, and supported functionality may vary by plan and may be changed or discontinued as described in these Terms.

3. Eligibility

You must provide accurate information when creating and maintaining your Dialeaze account.

You are responsible for ensuring that your use of the service complies with all laws, regulations, and requirements applicable to you and your business.

If you are using Dialeaze on behalf of a company or organization, you represent that you have authority to accept these Terms on its behalf.

4. Account & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs through your account.

You must notify Dialeaze promptly if you believe that your account has been accessed without authorization or that your account credentials have been compromised.

You must not share, transfer, sell, or provide unauthorized access to your Dialeaze account.

5. Services

Dialeaze provides the services and features described on its website and within the applicable subscription or service plan.

Dialeaze may modify, update, improve, restrict, or discontinue features from time to time. Where reasonably necessary, changes may be made to maintain security, reliability, legal compliance, or service functionality.

6. Billing & Payments

Paid Dialeaze services are subject to the pricing and billing terms presented to you when you purchase or subscribe to a service.

Subscription charges may be billed on a recurring basis according to the billing interval selected at checkout.

You authorize Dialeaze and its applicable payment provider to charge the payment method associated with your account for applicable subscription and service charges.

Cancellation of a subscription stops future recurring billing but does not automatically reverse charges that have already been processed.

Refunds and cancellation requests are handled according to the Dialeaze Refund & Cancellation Policy.

7. Acceptable Use

You agree to use Dialeaze only for lawful and legitimate purposes.

You must not use Dialeaze to:

• conduct fraudulent, deceptive, or unlawful activities;
• send spam or unauthorized bulk communications;
• harass, threaten, abuse, or impersonate another person or organization;
• distribute malicious software, harmful code, or content intended to disrupt systems;
• violate privacy, intellectual property, or other rights of another person or organization;
• attempt to bypass, compromise, or interfere with Dialeaze security or systems;
• use telephone numbers or communication services in violation of applicable laws or carrier rules; or
• engage in any activity that could reasonably cause harm to Dialeaze, its providers, customers, or telecommunications networks.

Dialeaze may take appropriate action, including restricting or terminating access, when it reasonably believes an account is being used in violation of these Terms.

8. Voice, SMS & Communications

If you use Dialeaze for voice calls, SMS, messaging, or other communications, you are responsible for the content and purpose of those communications.

You are responsible for obtaining any permissions, consents, registrations, disclosures, or approvals required for your communications.

You must comply with applicable telecommunications, privacy, marketing, anti-spam, consumer-protection, and communications laws and regulations.

Dialeaze does not authorize you to use its services for illegal, deceptive, abusive, fraudulent, or unsolicited communications.

9. Business Phone Numbers

Dialeaze may provide access to business telephone numbers through telecommunications or other third-party providers.

Availability of a particular telephone number is not guaranteed and may depend on geographic availability, regulatory requirements, carrier inventory, and provider availability.

A telephone number may be subject to applicable carrier rules, regulatory requirements, verification requirements, or other restrictions.

Dialeaze may be required to change, suspend, or discontinue a telephone number when required by a telecommunications provider, regulator, legal requirement, or operational circumstance.

Charges associated with telephone numbers and related services are handled according to the applicable pricing and Refund & Cancellation Policy.

10. Call Recordings

Where call recording functionality is available, you are responsible for using it in compliance with all applicable laws and regulations.

Call recording laws may require notice or consent from one or more participants in a communication.

You are responsible for determining whether recording a particular communication is lawful and for providing any required notices or obtaining any required permissions.

11. Intellectual Property

Dialeaze and its licensors retain all rights, title, and interest in the Dialeaze platform, website, software, branding, designs, graphics, interfaces, documentation, and related materials, except for content that you independently provide or own.

These Terms do not transfer ownership of Dialeaze intellectual property to you.

You may not copy, reproduce, modify, distribute, reverse engineer, sell, sublicense, or otherwise exploit Dialeaze intellectual property except where expressly permitted.

12. Third-Party Services

Dialeaze may rely on third-party providers for telecommunications, payment processing, hosting, infrastructure, messaging, authentication, or other technology services.

Third-party services may have their own terms, requirements, limitations, availability conditions, and privacy policies.

Dialeaze is not responsible for interruptions, restrictions, or changes caused solely by third-party providers, although Dialeaze may take reasonable steps to restore or maintain service where possible.

13. Suspension & Termination

You may stop using Dialeaze at any time and may cancel your subscription according to the applicable cancellation process.

Dialeaze may suspend or terminate an account if it reasonably believes that the account is being used for fraud, abuse, unlawful activity, prohibited communications, payment abuse, security violations, or material violations of these Terms.

Dialeaze may also suspend or terminate services where required by a telecommunications provider, payment provider, regulator, court order, or applicable law.

Termination or suspension does not remove obligations or liabilities that arose before termination.

14. Disclaimer

Dialeaze provides its services on an available and reasonable-efforts basis. While Dialeaze works to maintain reliable services, uninterrupted or error-free operation cannot be guaranteed.

Dialeaze does not guarantee that every feature, telephone number, communication route, message, connection, or third-party service will always be available or operate without interruption.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Dialeaze and its applicable officers, employees, affiliates, providers, and service partners will not be responsible for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the services.

This includes, where permitted by law, loss of business, revenue, profits, data, communications, or opportunities resulting from service interruptions, account restrictions, third-party provider issues, or misuse of the service.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is not permitted by applicable law.

16. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Dialeaze and its applicable officers, employees, affiliates, providers, and service partners from claims, losses, liabilities, damages, costs, and expenses arising from:

• your use or misuse of the services;
• your violation of these Terms;
• your violation of applicable laws or regulations;
• communications or content transmitted through your account; or
• infringement of another party's rights caused by your use of the services.

17. Changes to These Terms

Dialeaze may update these Terms & Conditions from time to time to reflect changes to the services, business operations, legal requirements, or security practices.

The updated version will be posted on the Dialeaze website with an updated effective or revision date.

Your continued use of Dialeaze after updated Terms are posted constitutes acceptance of the revised Terms, subject to applicable law.

18. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by applicable law.

19. Governing Law
